MSAB to buy significant stake in Beijer Ref

SWEDEN: Family-owned Swedish investment company Melker Schörling AB (MSAB) is to become the largest shareholder, in terms of voting rights, in refrigeration wholesaler Beijer Ref.
The change follows MSAB’s agreement to acquire all of the outstanding A-shares held by private equity firm EQT and former chairman Peter Jessen Jürgensen for an undisclosed premium. It gives MSAB 14.1% of the voting rights and 2.1% of the share capital.
The transaction marks the start of a long-term change of ownership, with MSAB intending to gradually increase its stake in Beijer Ref, focusing on continued industrial development and long-term value creation.
MSAB and former CEO and current chairperson Per Bertland have also simultaneously entered into a mutual right of first refusal agreement regarding their holdings of A-shares in the company.
As the largest shareholder in terms of voting rights, MSAB will appoint the chair of the nomination committee when it is formed in September.
MSAB was founded in 1999 by the late billionaire businessman Melker Schörling. It has large interests in an number of major companies including Assa Abloy, Nibe and Securitas.
